This Purchase Contract is made effective as of today (the “Effective Date”), by and between the Seller and you (the “Buyer”).

The parties agree as follows:

1. Agreement of Purchase and Sale

Subject to the terms, covenants, and conditions of this Agreement, Seller shall sell to Buyer and Buyer shall purchase from Seller the “Property(ies)” defined in the check-out cart.

2. Purchase Price & Terms

Terms Purchase:
Buyer shall pay the price, interest rate, property taxes, and fees for the stated term as defined on the product page for the property(ies). Monthly payments begin one month after the down payment and processing fee are received and continue on the same day each month for the stated term. Final payment may be a balloon payment.

Cash Purchase:
Buyer shall pay the price and fees as defined on the product page for the property(ies).

3. Processing and Service Fees

Terms Purchase:
A one-time processing fee of $199.00 is due upon execution of this Agreement. A $10.00 monthly servicing fee will be added to the Buyer’s monthly installments. All processing and service fees are non-refundable.

Cash Purchase:
A one-time processing fee of $199.00 is due upon execution of this Agreement. Non-refundable.

4. Property Taxes

Detailed terms for both Terms Purchases and Cash Purchases apply as outlined, including amortization, responsibilities post-deed transfer, and adjustments based on future tax changes.

5. Total Monthly Payment (Terms Purchase)

Includes:

Principal and interest
Service fee
HOA dues (if applicable)
Utility fees
Property taxes (subject to change)

6. Possession and Use

Buyer receives full possession upon full performance. Legal title remains with Seller until obligations are fulfilled.

7. Delivery of Deed

Upon full payment, Seller delivers a Special Warranty Deed and records it within 30 days, then forwards the recorded deed to Buyer.

8. Closing (Cash Purchases)

Closing must occur within 2 business days unless extended in writing. All obligations and deed delivery terms apply as above.

9. Closing Costs & Adjustments (Cash Purchases)

Details proration and cost responsibilities for taxes, utilities, assessments, HOA, and related expenses.

10. Incorporation of Terms

This Agreement is subject to the attached Terms and Conditions, which are fully incorporated herein.

11. Acceptance

Offer expires unless Buyer proceeds with the purchase and down payment.

Integration

These Terms and Conditions form part of the Agreement.

Payments

Payments are non-refundable and will be applied in the following order: late fees, service fees, interest, principal. Payment methods and automatic options may be required.

All Sales Final

All purchases are final.

Prepayment

Allowed with no penalty.

Late Payments

$10 charge if payment is more than 5 days late.

Default

If Buyer defaults and does not cure within 30 days, Seller may accelerate the contract.

Property Condition

Sold “as-is.” Buyer assumes all risks and costs for construction or improvements.

Inspections

Seller may inspect the property before full payment.

Title Insurance

Seller may optionally provide a standard policy; Buyer is responsible for enhancements.

Escrow/Servicing Agent

Seller may elect to use an agent. Buyer pays all agent fees unless otherwise stated.

Taxes and Assessments

Buyer pays all future taxes and assessments. If unpaid, Seller may advance and charge Buyer with 18% interest.

Insurance

Buyer must obtain liability or umbrella insurance with required limits. Seller must be named additional insured.

Use and Liability

Buyer indemnifies Seller from any claim arising from use of the property.

Condemnation

Proceeds go toward Buyer’s balance.

Maintenance

Buyer must maintain the property and prevent liens.

Compliance

Buyer must comply with all local laws. Code violations incur fees and may result in default.

Assignment

Buyer may not assign this Agreement without Seller’s written consent.

Notices

Must be sent in writing to the address or contact listed.

Defaults and Remedies

After 30-day notice, Seller may terminate this Agreement and retain all payments.

Brokers

Each party is responsible for any commissions resulting from their actions.

Attorneys’ Fees

The breaching party pays all legal fees.

Amendments

Must be in writing and signed by both parties.

Recording

This Agreement may not be recorded.

Entire Agreement

This document supersedes all prior discussions or agreements.

No Agency

This is not a partnership, joint venture, or agency.

Jurisdiction

Exclusive jurisdiction is in the State of Colorado. Venue is Boulder County.

Miscellaneous

Includes severability, execution in counterparts, headings, and legal capacity clauses.

LIMITED POWER OF ATTORNEY

Buyer appoints Seller to execute any documents needed for transfer of title. This power of attorney is irrevocable.

PROPERTY RESERVATION TERMS AND CONDITIONS

The property is reserved for 48 hours. Buyer may not stay on or use the property. No rights are granted except to research. Seller may cancel reservation for violations.
